WOOFERG — TERMS OF SERVICE

Welcome to WooferG. These Terms of Service (“Terms”) constitute a legally binding agreement between WooferG (“Company”, “Platform”, “We”, “Us”), the Merchant/Vendor, and the End-User/Customer (“You”). By accessing or using our platform, you agree to be bound by these Terms.


1. NATURE OF SERVICE

WooferG is an online marketplace and logistics facilitator.

  • Intermediary Role: WooferG provides a technology platform to connect Users with third-party Merchants and Delivery Partners.

  • No Ownership: WooferG does not manufacture, sell, or stock any products. The contract for the sale of any product is strictly a bipartite contract between the Merchant and the User.


2. OBLIGATIONS OF THE MERCHANT (VENDOR)

By listing products on WooferG, the Merchant agrees:

  • Product Integrity: To be solely responsible for the quality, hygiene, safety, freshness, and legal compliance (including Expiry and FSSAI standards) of all items.

  • Accuracy: To provide correct pricing, descriptions, and stock availability.

  • Packaging: To ensure all items are securely packed and "Sealed for Safety" before handing them to the delivery partner.

  • Indemnity: To hold WooferG harmless against any consumer disputes, health-related claims, or legal penalties.


3. TERMS FOR THE USER (CUSTOMER)

By placing an order, the User acknowledges:

  • Selection: Once an order is prepared or packed by the Merchant, it is final. Cancellations due to "change of mind" or "wrong selection" are not permitted.

  • Assumption of Risk: The User understands that food/product quality, taste, and ingredients are the sole responsibility of the Merchant.

  • Verification: The User must verify the "Package Seal" at the time of delivery.


4. 10-MINUTE RETURN & SEAL POLICY (STRICT)

To maintain hygiene and prevent fraud, WooferG follows a strict return window:

  • Eligibility: Returns are only considered if raised within 10 minutes of the delivery timestamp.

  • Condition: The product seal must be intact and untampered.

  • Automatic Rejection: If the seal is broken, or the product has been consumed/opened, the return/refund request will be automatically rejected.

  • Final Authority: WooferG Management reserves the final right to approve or deny any refund request based on internal evidence.


5. DELIVERY & LIMITATION OF LIABILITY

  • Delays: Delivery timelines are estimates. WooferG is not liable for delays caused by traffic, weather, road closures, or Merchant preparation delays.

  • Liability Cap: WooferG shall not be liable for any indirect, incidental, or consequential damages, including health issues, mental distress, or loss of profits.

  • Force Majeure: WooferG is not responsible for service interruptions caused by "Acts of God" or technical network failures beyond its control.


6. PROHIBITED CONDUCT & ANTI-FRAUD

The following actions may lead to immediate account suspension and legal action:

  • For Users: Filing false complaints, misusing the return policy, or placing fraudulent orders.

  • For Merchants: Supplying expired/fake goods, charging above MRP, or misrepresenting items.

  • For All: Any attempt to bypass the platform’s system or engage in off-platform transactions.


7. DATA USAGE & PRIVACY

  • Consent: All parties consent to the recording of support calls, in-app chats, and transaction logs for audit and dispute resolution.

  • Records: In case of legal disputes, WooferG’s digital system logs shall be treated as the primary and admissible evidence.


8. GOVERNING LAW & JURISDICTION

  • Law: These terms are governed by the Laws of India.

  • Dispute Resolution: All disputes arising out of or in connection with this agreement shall be subject to the exclusive jurisdiction of the Courts of Mandla District, Madhya Pradesh.


9. SHOP SECTION & SUBSCRIPTION TERMS


​A. Payment & Non-Refundable Policy

 

  • ​Strictly Non-Refundable: Any advance fee, monthly subscription, or annual subscription amount paid by the Merchant under any selected plan (including but not limited to plans valued at ₹12,000, ₹2,400, ₹1,200, or ₹600) shall be strictly non-refundable and non-transferable under any circumstances.
  • ​Plan Upgrades/Downgrades: The Merchant may request to modify or change their active plan mid-month or mid-year; however, any previous payments will not be adjusted, prorated, or refunded. The new plan parameters will officially take effect from the start of the next billing cycle.
  • Additional Commission Payment: Upon exhausting the designated free delivery limits as per the subscription plan, any applicable additional commission (such as 10%, 5%, or 2.5%) will be calculated as per Company policy. This amount will either be automatically deducted from the Merchant's weekly/monthly settlement payouts or must be paid separately by the Merchant.

​B. Delivery & Radius Rules

 

  • ​5-Kilometer Radius Limit: The free deliveries included within any subscription plan are strictly valid only within a 5-kilometer aerial radius from the Merchant’s registered location. For any deliveries extending beyond this 5 km threshold, standard delivery charges, fees, and operational terms of the Platform shall apply.
  • ​Delivery Availability: Delivery turnaround times and availability are subject to variance based on real-time factors, including the availability of delivery partners and local weather conditions.

​C. Product Listing & Pricing

 

  • ​Price Parity: The Merchant explicitly guarantees that the prices of products listed on the WooferG app shall not exceed the retail prices offered at their offline storefront or on any other digital platform. The Merchant is strictly prohibited from passing on any hidden charges or additional markups to the customers via the platform.
  • ​Inventory Management: It is the sole responsibility of the Merchant to maintain and update real-time stock availability on the dashboard. If an order is canceled due to an "out-of-stock" discrepancy, the Merchant shall bear full accountability and liability for such cancellation.
  • ​Prohibited Products: The Merchant shall not list, showcase, or sell any illegal, expired, counterfeit, or government-restricted items. Pharmacy and medical merchants are explicitly prohibited from dispensing or delivering Schedule-H or prescription-only medicines without verifying a valid, authorized doctor's prescription.

​D. Tech Tools & Intellectual Property (IP)

 

  • Platform Ownership: The complete software infrastructure, merchant dashboards, interfaces, and technology toolsets provided by WooferG remain the exclusive intellectual property of the Company. The Merchant is granted only a non-exclusive, revocable right to use these tools solely for their routine business operations on the platform.
  • ​Cataloging & Photography: All product photographs, digital assets, and marketing banners created or processed by the Company are the property of WooferG. The Merchant is strictly prohibited from utilizing these assets on any competing platform or external channel without obtaining explicit prior written consent from the Company.

​E. Account Suspension & Termination
​WooferG reserves an absolute and unconditional right to immediately suspend, restrict, or permanently terminate a Merchant's account without any prior notice if the Merchant is found guilty of fraud, delivering substandard/compromised quality products, engaging in customer misconduct, or violating any clause of these Terms of Service. In the event of such termination, no refunds of any active subscriptions shall be issued.

 

 


 

10. DECLARATION

By clicking "Accept," "Sign Up," or by continuing to use the WooferG Platform, you confirm that you have read and understood these Terms. You acknowledge that this is an electronic record under the Information Technology Act and does not require a physical signature.
